1. INTRODUCTION

This Terms of Sale and Conditions Agreement (“Master Agreement”) governs all transactions and relationships with Semifly Inc. (“Semifly”). Based on your relationship with Semifly, specific terms and conditions will apply as referenced below.
 
2. APPLICABLE AGREEMENTS

The following agreements are incorporated by reference and apply based on your relationship with Semifly:

• 2.1 Commercial Terms of Sale

  – Applies to: Business purchases for internal use

  – Governs all business-to-business transactions

• 2.2 Consumer Terms of Sale

  – Applies to: Individual purchases for personal use

  – Governs all consumer transactions

• 2.3 Reseller Terms of Sale
  – Applies to: Authorized reseller purchases

  – Governs all reseller relationships

• 2.4 Supporting Policies
  – Return Policy
  – Warranty Terms
  – Privacy Policy

3. ORDER OF PRECEDENCE

In case of any conflict between documents:

1. This Master Agreement
2. Applicable specific terms (Commercial, Consumer, or Reseller)
3. Supporting policies
4. Order-specific terms

4. ACCEPTANCE

By engaging in any transaction with Semifly, you agree to be bound by this Terms of Sale and conditions agreement and all applicable referenced terms based on your relationship type.
 
5. UPDATES

Semifly may update these terms with 30 days’ notice. Continued use constitutes acceptance of updated terms.
